These Terms & Conditions (T&C) constitute a legal agreement between you and VolunteerTribe. By accessing the VolunteerTribe Site, currently located at www.volunteertribe.com (the “Website/Site/Platform”), or using any of the Services (as defined below) accessible through the Site, you become a user and agree to, and are bound by, the terms of this Agreement, as amended by VolunteerTribe. These Terms and Conditions (“T&C”) governs the end users’ (“You/Your/Visitor”) access to and use of VolunteerTribe.

If you are an individual entering into this Agreement “you” refers to you, the individual. If you are entering into this Agreement on behalf of an organization or company, you represent and warrant that you have the authority to bind the organization or company or institution to this Agreement, in this instance, “you” shall refer to the organization or company or institution.

VolunteerTribe offers a number of “Service(s)”, including: services for volunteers (“Volunteer Service”), services for NGOs or nonprofits or Social Initiatives (“Nonprofit Service”) and services that assists corporations and organizations or institutions in developing employee/ member volunteering (“Employee/Member Volunteering”). VolunteerTribe may offer additional services and revise any of the Services offered or the Site as needed.

Please read these T&C carefully before accessing the Site or any information, content, image, text, graphics, logos, tools, photographs, images, illustrations, software or source code, audio and video, animations, text, graphic or any kind of material /information on the Site (collectively referred to as “Content”). By using or accessing the Site, You agree to be bound by all the T&C. If You do not agree to all the T&C, please do not access the Site.

These T&C will govern Your use of the Site and all applications, software, and services available via the Site, except to the extent that such Services are the subject of a separate agreement.

User will be requested to provide specific personal data to us, as described in our Privacy Policy. All uses of User's Personal Data will be treated according to our Privacy Policy. For more information, click here to view the Privacy Policy, which is incorporated into these Terms by reference, as if set forth fully herein. By accessing the Site or using the Site or the Service, User agrees to accept our privacy policy and to accept these T&C irrespective of whether you have read it or not. If User objects to having his, her or its information used as described in the Privacy Policy, User's sole recourse is to discontinue using the Site and the Service.

We may revise and update these T&C at any time. Your continued usage of the Site after any changes to these T&C will be deemed as acceptance of such changes. We encourage you to review the Site Terms whenever you visit the Site. Any aspect of the Site may be changed, supplemented, deleted, or updated without notice, at Our sole discretion. We may establish or change, at any time, general practices and restrictions concerning Our other products and services at its sole discretion.

Any and all intellectual property rights including all patents, copyrights, trademarks, service marks, trade names and other proprietary rights, and all applications and registrations thereof, throughout the world, in relation to the Site or services (“Intellectual Property”) associated with the Site and its Content are our sole property. As between any user and VolunteerTribe, all names, trademarks, service marks, certification marks, symbols, slogans or logos appearing on the Site are proprietary to VolunteerTribe or its affiliates, licensors, or suppliers. Use or misuse of these trademarks is expressly prohibited and may violate trademark law. Except as otherwise expressly authorised by these T&C, You may not copy, reproduce, modify, amend, lease, loan, sell and/or create derivative works from, upload, transmit, and/or distribute the Intellectual Property of the Site in any way without Our prior written permission. In any case, you may not use this Site or information found at this Site (including the names or addresses of those who have submitted information to this Site) to sell or promote products or services, to solicit clients, or for any other commercial purpose. Except as expressly provided herein, VolunteerTribe does not grant to You any express or implied rights to the Intellectual Property of VolunteerTribe or that of any third party.

VolunteerTribe hereby grants You a limited, personal, non-transferable, non-sublicensable, revocable licence to access and use a) only the Site, Content and Services only in the manner presented by VolunteerTribe b) None of the Content and/or confidential information may be reverse-engineered, modified, amended, reproduced, republished, translated into any language or computer language, re-transmitted in any manner c) resold or redistributed without the prior written consent of VolunteerTribe d) You may not make, sell, offer for sale, modify, amend, reproduce, display, publicly perform, import, distribute, retransmit or otherwise use the Content in any way unless expressly permitted to do so by VolunteerTribe.

In addition to other restrictions set forth in these T&C, You agree that:

6.1. You will not use the Site for any illegal or unauthorized purposes that violate any local, national, or international laws (including but not limited to import, export, copyright, and trademark laws).

6.2. You will not impersonate another user in order to hide your identity or to implicate another in such actions.

6.3. You will not place false or misleading information on the Site.

6.4. You will not individually, or as part of any collective effort, submit or post information to this Site that could be deemed harmful or offensive to other users.

6.5. You will not disguise the origin of information transmitted through the Site.

6.6. You will not use or access any service, information, application, or software available via the Site in any manner that is not expressly permitted by VolunteerTribe.

6.7. You will not use the site for modifying, copying, distributing, displaying, performing, reproducing, publishing, licensing, creating derivative works from, transferring, selling any of the Site Materials, unless otherwise authorized by these Terms or in a separate written agreement with VolunteerTribe.

6.8. You will not use any robot, spider, or other automatic device, process, or means to access this Site for any purpose, including, without limitation, for monitoring or copying any of the material on this Site.

6.9. You will not use any manual process to monitor or copy any material on this Site, or for any other purpose not expressly authorized in this Agreement, without our prior written consent.

6.10. You may not frame or utilise framing techniques to enclose any portion or aspect of the Content or the information, without the express written consent of VolunteerTribe.

6.11. You may not use or access the Site or Our systems or Services in any way that, in VolunteerTribe‘s judgment, may adversely affect the performance or function of the VolunteerTribe systems, Services or the Site or interferes with the ability of authorised parties to access the VolunteerTribe systems, Services or the Site.

6.12. You will not do anything that might disrupt the flow of data to or from this Site, impact the service or performance of this Site, or otherwise circumvent any of the controls or usage rules that we have implemented.

6.13. You will not attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of this Site, the server on which this Site is stored, or any server, computer, or database connected to this Site or any linked website.

6.14. You will not attack this Site via a denial-of-service attack or a distributed denial-of-service attack.

6.15. You will not use the Site for removing, circumventing, disabling, damaging or otherwise interfering in any way with any security-related features of the Site aimed at preventing or restricting the unauthorized use of the Site or any of the Site Materials.

6.16. You will not input or upload onto the Site any information that may contain viruses, trojan horses, worms, time bombs, logic bombs, or other computer programming routines that are intended to damage, interfere with, intercept or expropriate any system, the Site or the Content that infringes the Intellectual Property rights of another.

6.17. You are expressly prohibited from using automated systems, software, bots, spiders, scripts, or manual processes to access, extract, scrape, crawl, data mine, reproduce, redistribute, or copy any content, information, or data from this Site or any associated application for purposes including but not limited to, developing, training, fine-tuning, validating, or enhancing machine learning models, large language models (LLMs), artificial intelligence systems, generative AI tools, retrieval-augmented generation or other similar technological systems without obtaining prior written consent from VolunteerTribe and You will not archive, cache, compile into datasets, or otherwise share our data or content with any third parties for the aforementioned prohibited purposes.

You acknowledge and agree that the unauthorized use of the Site or the Site Materials could cause irreparable harm to VolunteerTribe and that in the event of such unauthorized use, VolunteerTribe reserves the right to immediately terminate the right to use this Site and initiate action against you, in addition to any other remedies available at law or in equity.

In order to access certain content, services, products or benefits on the Site, you may be asked to register and create an account. As part of the registration process, you must click to agree to these Terms, and may then be asked to select a user name and password. You may also be required to provide VolunteerTribe with certain information about yourself including some types of personally identifying information such as your email and your address. You are fully responsible for your account, including use of the account by any third party, and maintaining the confidentiality of your password.

This Site provides a platform for individuals to learn about and coordinate service opportunities. We are not a party to, have no involvement or interest in, make no representations or warranties as to, and have no responsibility or liability with respect to any communications, transactions, interactions, disputes, or relations whatsoever between you and any other person or organization, whether or not you found or otherwise interacted with such person or organization through, or as a result of your use of, this Site.

We cannot and do not confirm the identity of any person or organization using this Site. You are solely responsible for determining the identity and suitability of others with whom you may interact through, or as a result of using, this Site. We do not represent or warrant that this Site is sufficient to determine whether it is appropriate for you to interact with others. Further, we do not endorse any persons or organizations who register on, are displayed on, or who otherwise use this Site.

We do not investigate or verify any person or organization’s reputation, conduct, morality, or criminal background; the legitimacy of any posting or service opportunity; or any other information others may submit to this Site. To the extent permitted by applicable laws, we assume no responsibility and we assume no liability for any User Content that you or any other user or third party posts on this Site. You will be solely responsible for your User Content and the consequences of posting and publishing it, and you agree that we are only acting as a passive conduit for the online display of your (and others’) User Content. You understand and agree that you may be exposed to User Content that is inaccurate, objectionable, inappropriate for children, or otherwise unsuited for your purpose, and you agree that we will not be liable for any damages you allege to incur as a result of any such User Content.

Any website or other devices that link to https://www.VolunteerTribe.com/ or any page available therein is prohibited from replicating Content, using a browser or border environment around the Content, implying in any fashion that VolunteerTribe or any of its Affiliated Entities/ Subsidiaries endorse such inbound link websites  or its products, misrepresenting any state of facts, including its relationship with VolunteerTribe or Affiliated Entities/ Subsidiaries, presenting false information about VolunteerTribe products or services, and using any logo or mark of VolunteerTribe or Affiliated Entities/ Subsidiaries, without express written permission from VolunteerTribe.

VolunteerTribe may suspend or terminate your account and/or your ability to use the Site, or any services on the Site, for failure to comply with these Terms, for providing VolunteerTribe with untrue or inaccurate information about yourself, for infringement upon VolunteerTribe proprietary rights, or for any other reason whatsoever or for no reason. You agree that We at Our sole discretion, may terminate or suspend Your use of the Site, Our systems, Services and Content at any time and for any or no reason and at Our sole discretion, even if Your access and use continue to be allowed to other websites.

VOLUNTEERTRIBE MAKES NO WARRANTY THAT THE SITE OR SERVICES WILL MEET YOUR REQUIREMENTS, OR WILL BE TIMELY, SECURE, CURRENT, ACCURATE, COMPLETE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED BY USE OF THE SITE AND/OR SERVICES WILL BE ACCURATE OR RELIABLE.

YOU UNDERSTAND AND AGREE THAT YOUR SOLE AND EXCLUSIVE RIGHT AND REMEDY WITH RESPECT TO ANY DEFECT IN OR DISSATISFACTION WITH THE SITE AND/OR SERVICES OR ANY OTHER GRIEVANCE SHALL BE YOUR DISCONTINUATION OF ACCESS TO, OR USE OF THE SITE AND/OR SERVICES.

To the extent permitted by law, in no event shall VolunteerTribe, its Affiliated Entities/ Subsidiaries, licensors, suppliers or any third parties mentioned at the Site be liable for any incidental, direct, indirect, exemplary, punitive and/or consequential damages, lost profits, and/or damages resulting from lost data or business interruption resulting from the use of and/or inability to use the Site, Our systems, information, services or the content whether based on warranty, contract, tort, delict, or any other legal foundation, and whether or not VolunteerTribe is advised of the possibility of such damages. To the extent permitted by law, the remedies stated for You in these T & C are exclusive and are limited to those expressly provided for herein.

You agree to defend, indemnify and hold harmless VolunteerTribe, its parent corporation, officers, subsidiaries, affiliates/subsidiaries , successors, assigns, directors, officers, agents, service providers, suppliers and employees, from and against any and all claims, actions, suits, other proceedings, demands, obligations, losses, liabilities, costs, debts, expenses, or demands, including but not limited to penalty, reasonable attorney fees, and court costs, made by any third party due to or arising out of your use of the Site, the Site Materials or any services, product or data obtained through the Site, your fraud, violation of law, negligence, willful misconduct, content submitted by you/ user, users use of the service, violation of the T&C and privacy policy, breach by the You/user of any of the terms and conditions, representations and warranties herein, or Your /user’s violation of any rights of another.

For any claim that your actions or actions using your account harmed a third party, You also agree that you have a duty to defend us against such claims and we may require you to pay for an attorney(s) of our choice in such cases. You agree that this indemnity extends to requiring you to pay for our reasonable attorneys’ fees, court costs, and disbursements. In the event of a claim such as one described in this paragraph, we may elect to settle with the party/parties making the claim and you shall be liable for the damages as though we had proceeded with a trial.

You agree to use the Site in strict compliance with all applicable laws, rulings, and regulations and in a way that does not, in the sole judgment of VolunteerTribe, negatively reflect on the goodwill or reputation of VolunteerTribe and You shall take no action which might cause VolunteerTribe to breach any laws, rulings or regulations applicable to VolunteerTribe.

We, and Our Site are based in India and You agree to comply with all applicable restrictions and not to export or re-export the Content (including any software or the Services) to countries or persons prohibited under the applicable laws of India or other applicable export control laws or regulations. You may not assign these T&C or any of Your interests, rights, or obligations under these T&C. If any provision of these T&C shall be found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these T&C, which shall remain in full force and effect. You may preserve these T&C in written form by printing them for Your records.

This T & C supersedes all prior terms and agreements regarding the Site and constitutes the entire agreement between You and us regarding the Site. If any clause(s) in this document is found to be unenforceable, then that such clause will not affect the enforceability of the remaining clause of this document.We also would like to draw your attention that this document does not create any collaborative venture, agency, partnership, or other form of joint enterprise between you and us.
